Welcome to Golden Shallot and our Terms and Conditions of Service. Please take a moment to review our Terms and Conditions of Service, as they are important and impact your legal rights.

Golden Shallot (“Golden Shallot”, “we,” “us,” “our,” or “company”) operates the website Golden Shallot.com (“Site”) and provides access to visitors and users in the United States (“you” or “yours”). By clicking on the “Place Order”, “Order Now”, or “Pay Now” button, completing a purchase/ordering process, or by accessing or using our Site and Products, you represent and agree that: (1) you have read, understood, and agree to be bound by these Terms; and (2) you are of legal age to enter into a binding contact with us, and have authority to do so, either personally or on behalf of the individual you have named as the user and to bind either yourself or the name legal individual to these Terms. The term “you” refers to the individual or legal entity as applicable, identified as the user who made a purchase on the Site. If you do not agree to be bound by these Terms, you may not access or use this Site. Agreement to these Terms also includes agreement to all of the terms incorporated herein by reference including our Privacy Policy. If you do not agree to these Terms, you may not access or use our Site, order, receive, or use our Products. 

1. Information About Us

Golden Shallot, LLC., is a limited liability company in the State of Georgia with a general corporate office located at: 5675 Oakbrook Pkwy, Unit C Norcross, GA 30093. 

 

2.Service Availability and Your Eligibility

Golden Shallot’s site is intended for use by individuals in the contiguous United States of America, excluding Alaska, Hawaii, Puerto Rico, and other US Territories (“Serviced States”). Currently, we are only serving the Metro Atlanta, Georgia area, and will not accept orders from individuals outside of this region. By placing an order through our Site, you represent and warrant that you: (1) Are legally capable of entering into this Agreement; (2) Are at least 18 years of age; (3) Are resident of the United States; and (4) Accessing the Site within the United State; (5) Have not previously been suspended or removed from the Site or previously violated any version of these Terms and Conditions.

 

3. Modification

At Golden Shallot’s sole discretion, we reserve the rights to change, modify, add, remove, or supplement the Agreement (including the Privacy Policy), at any time,  without prior notice to you. However, changes to dispute resolution procedures will only apply to disputes that arise after the modified or additional provisions are posted on the Site. It is your responsibility to periodically review these Legal Terms to stay informed of any updates. The most current version of the  Agreement will be posted on the Site, and any changes reflected by updating the “Effective Date” of the Legal Terms. 

 

4. Ordering Through the Site

All orders must be placed through the Site and received before the specified cutoff time to guarantee the selected pickup and delivery time. Delivery date, time, and charges will be displayed as you proceed through the order process. Orders are processed within 2-3 business days, while pickup and delivery orders within 3-4 business days. Pickup and delivery services are available Monday - Friday from 9am to 5pm. Pickup and delivery services are not available on weekends. If you need to cancel or make changes to your order, please contact us within 2 hours of placing the order by emailing us at info@goldenshallot.com or call (770)-368-0633.

 

4. Payment

By placing your order through the Site, you consent to and authorize Golden Shallot to share payment information and necessary instructions to complete the transaction between Golden Shallot, our payment processors, and their third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services). Accepted payment methods include American Express, Visa, Mastercard, Discover, Paypal, Google Pay, Apple Pay, or Shop Pay. We reserve the right to modify or change the available payment methods at any time.  


6. Pricing and Availability

All prices displayed on the Site are in U.S. dollars. Unless otherwise specified, applicable taxes, fees, and other charges are not included in the listed price and will be added at checkout. Prices, taxes and fees may vary depending on location. We reserve the right to modify prices at our sole discretion, at any time, and without prior notice to you. 


7. Replacement Ingredients in Meal Kits

Due to the nature of our ingredients,, we reserve the right to adjust the quantity of the ingredients in a meal kit, to discontinue certain ingredients or Products, or to substitute any ingredient/entire meal kit as needed. We will make every effort to notify you, the consumer, if a substitute is required of any item(s). If any cooking instructions are modified, we will communicate those changes with you, the consumer. 8. Dietary Preferences and Restrictions

You are solely responsible for being aware of any food allergies you may have and reviewing product ingredients before handling, preparing, using or consuming them. While Golden Shallot strives to provide accurate nutritional information, we do not guarantee its accuracy. All meal kits are prepared, stored, portioned, and packed in a kitchen that handles a mix of all nine (9) major US allergens (milk, wheat, egg, soy fish, shellfish, peanuts, sesame, and tree nuts. Although we at Golden Shallot take precautions to minimize that amount of potential cross-contaminations, there is still a risk that meals may come in contact with any or all of these allergens. 


9. Satisfaction Guarantee

All of our products are made in-house and come with a freshness and quality guarantee: 3-4 days for meal kits w/ fresh produce and 5-7 days for heat-to-serve meals from the date after receipt of your box. If you are not satisfied with your meal(s) for any reason, please contact us via email at info@goldenshallot.com or call (770)-368-0633 within 2 days of the delivery. Depending on the situation, we may offer a credit for future use or, at our sole discretion, provide you a full or partial refund of the purchase price of the meal. We may require a product return or photo documentation of the product with your dissatisfaction before we issue a credit or refund. For more details please look at our Return Policy page.

10. Gift Cards & Vouchers

Gift Cards can be purchased and/or received through our Site and redeemed for purchases made on the Site. Any available balance on a Gift Card will be applied to your order until the balance is fully used. Gift Cards cannot be redeemed for cash or credit. Golden Shallot is not responsible for any lost or stolen Gift Cards, and they cannot be replaced unless  required by law. .All Gift Cards sales are final and non-refundable. Golden Shallot reserves the right to honor a Gift Card where Golden Shallot suspects that the gift card was obtained fraudulently. 


11. Promotions

Golden Shallot may occasionally offer discounts or promotions through the website and other channels. Each discount or promotion will have a specified expiration date. These offers are limited one-time use and may not be copied, reproduced, distributed or  published in any form, whether directly or indirectly,  or stored in data retrieval systems without our prior written approval. Golden Shallot reserves the right to modify or revoke any discounts/promotions at any time and for any reason.

 

12. Delivery

Golden Shallot, currently offers in-house local delivery around metro Atlanta - see Delivery page for details - as well as local pick up. Local deliveries are available Monday - Thursday, while Pickup can be scheduled Monday - Friday from 9AM - 5PM. No orders will be processed on weekends. Upon Pickup/Delivery, you are responsible for inspecting all Products for any damages or issues. In the unlikely event that you have any issues with your order, please contact us at info@goldenshallot.com or call (770)-368-0633 within 2 days. If you are not home at the time of the delivery, the courier will typically leave the package at your door unless specific delivery instructions have been provided. Our meals will be packaged with insulation and gel ice packs to retain cold and fresh for several hours. To ensure the best quality, we recommend immediately refrigerating all perishable Products upon delivery or pick up. In the event of severe weather or other unforeseen circumstances that impact our ability to safely complete a delivery, we will attempt to deliver your Order as soon as possible. In some cases, delivery may occur on a different date than your scheduled delivery date. If the delivery is not feasible, we will reach out to you as the consumer to determine a reasonable solution.


13. Force Majeure

We will not be liable or responsible for any failure or delay in fulfilling our obligations under an order caused by events outside our reasonable control (“Force Majeure Event”). A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond our reasonable control and includes, but is not limited, to the following: (1) strike, lock-outs, or other industrial actions; (2) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war, or threat or preparation of war; (3) Fire, explosion, storm, flood, earthquake subsidence, epidemic, or other natural disaster; (4) Impossibility of the use of railways, shipping, aircraft, motor transport, or other means of public transport; (5) Impossibility of the use of public or private telecommunications networks; (6) The acts, decrees, legislation, regulations, or restrictions of any government. If a Force Majeure Event occurs, our performance will be suspended for the duration of the event, and we will be granted an extension of time to fulfill our obligations. We will use our reasonable efforts to resolve the  Force Majeure Event or ind a solution that allows us to fulfill our obligations despite the circumstance.


14. Receipt of the Materials and Food Preparation

Golden Shallot uses specialized materials to refrigerate perishable items and partners with a  third party delivery company to deliver Meal Boxes to customers. As the consumer, you are responsible for inspecting the Meal Kits upon delivery and checking all products within the box for any defects or other issues upon delivery. If you are not home at the time of delivery, the Meal Kits will be left at your door or in a common area. After reviewing your box, we recommend that placing all perishable items in your refrigerator or freezer to ensure the ingredients’ integrity. All items are your responsibility from the time of delivery. We strongly recommend you review the USDA’s guideline on safe food handling. 


15. Instruction & Recipe Cards

Each Meal Kit will include a corresponding instruction and/or recipe card in the Meal Kit. If your meal kit is missing one, you can find the instructions on the Site. If you have questions or concerns regarding the instruction and/or recipe card, please contact us at  info@goldenshallot.com


16. Return and Refund Policy

Golden Shallot is dedicated to providing our customers with the freshest, highest-quality ingredients. If you are dissatisfied with the meal kits you received, please refer to our Refund Policy page. All refunds/returns are handled on a case-by-case basis. In the event you are not satisfied with any part of your Order, please reach out to us at info@goldenshallot.com or call (770)-368-0633 within 2 days of receiving your Meal Box. For issues related to ingredients or conditions of a Meal Kit, we may at our sole discretion, offer a credit for the individual ingredient or meal kit itself, and in some cases, provide a partial or full refund. We reserve the right to request either the return of the unsatisfactory ingredient or meal kit, or any relevant photos/videos before issuing any compensation.. 

 

17. License & Proprietary Rights

Golden Shallot is owner and operator of the Site. Golden Shallot is the owner to utilize, all content, features, and functionality (including, but not limited to, all information, text, graphics, software, video, and audio, and the design, selection, and arrangement thereof) published on the Site.  The materials are protected by copyright, trademark, trade secret, and other intellectual property or proprietary rights laws throughout the world. Subject to this agreement, Golden Shallot grants Consumers a limited license to use the Materials in order to utilize Golden Shallot’s Offerings for personal, non-commercial use. Any other use of Golden Shallot’s materials, including modification, distribution, or reproduction for purposes other than the personal usage of Golden Shallot’s Offerings, without written approval from Golden Shallot (which can be provided through email or social media) is prohibited. You are not permitted to resell or otherwise use the Products for commercial purposes. “Golden Shallot,” marks and logos, and all titles, characters, names, graphics, and button icons ar service marks, trademarks, and/or trade dress of Golden Shallot or otherwise proprietary to Golden Shallot and may not be used by you for any reason other than expressly permitted by the Terms. All other trademarks, service marks, product names, and company names, logos, designs, or slogans appearing by and through the Offerings are the property of their respective owners and you do not acquire any ownership rights in or such marks, logos, or name by using and/or accessing the Offerings. You will not remove, alter, or obscure any copyright notice, trademark, service mark, or proprietary rights notices incorporated in or accompanying the Offerings.

 

18. Community Standards and Conduct Guidelines

You may only use Golden Shallot Offerings for lawful purposes and in accordance with these Terms and Conditions. By accessing our Site or using our Products, you agree not using the Offerings in the following ways: (1) In violation of any applicable federal, state, local, or international law or regulations (including, without limitation, any laws regarding the export of data or software to and from the US or other countries; (2)To explicit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise; (3) To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter”, “spam”, or any other similar solicitation; (4) To impersonate or attempt to impersonate Golden Shallot, an employee, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing); (5) To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm Golden Shallot or users of the Site or expose them to liability. You do not agree to (1) Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site; (2) Use any robots, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site; (3) Use any manual process to monitor or copy any of the material on the Site of for any other unauthorized purpose without our prior written consent; (4) Use any device, software, or routine that interferes with the proper working of the Site; (5) Attempt to gain unauthorized access to, interferes with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site; (6) Attack the Site via a denial-of-service attack or a distributed denial-of-service attack; (7) Otherwise attempt to interfere with the proper functioning of the Site.


19. User Conduct

You agree to not violate any laws, statues, regulations, intellectual properties (including, but not limited to copyrights and trademarks), contractual obligations, other third party rights, or not commit any tort. You are solely responsible for your conduct while accessing or using the Site. You also agree to abide by these Terms and not to (1) Engage in any harassing, threatening, intimidating, predatory or stalking behavior; (2) Use the Sites in any way that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Sites or that could damage, disable, overburden or impair the Site’s functionality; (3) Reverse-engineer any aspect of the Site, attempt to discover source code, or bypass or circumvent measures used to prevent or limit access to any Content, area, or code of the Sites; (4) Attempt to circumvent any content-filtering technique we employ or attempt to access any feature or area of the Site that you are not authorized to access; (5) Develop any third party applications that interact with User Content or the Sites without our prior written consent; (6) Use any robot, spider, crawler, scraper, script, browser extension, offline reader or other automated means or interface not authorized by us to access the Sites, extract data or otherwise interfere with or modify the rendering of Site pages or function;ity; or Use the Sites for any illegal or unauthorized purpose, or engage in, encourage or promote any activity that violates these Terms. 


20. User Content

The Sites may include interactive features and areas that allow users to create, post, share, or store content, including but not limited to, recipes, reviews, photos, videos, music, sound, text, graphics, code, items, or other materials (collectively, “User Content”). If you choose to share your User Content with others through the Sites or third party platforms, you understand that your User Content will be viewable by others based on the privacy settings you establish. You agree that you are solely responsible for your User Content and for your use of any interactive features and areas of the Sites. By using the interactive features of the Sites, you further agree not to create, post, share, or store any of the following: (1) User Content that is unlawful, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable; (2) User Content that constitutes or encourage criminal activity, violates any party rights, or create liability or violate any local, state, national or international law; (3) User Content that may infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party; (4) User Content containing statements, remarks or claims that do not reflect your honest views and experience; (5) User Content that impersonates or misrepresents your affiliation with, any person or entity; or references Golden Shallot or our Products without disclosing a material connection (for example, if you are a Golden Shallot employee, or a paid blogger/influenster); (6) User Content containing unsolicited promotions, political campaigns, advertisment or solicitations; (7) User Content containing private or personal information of a third party without their consent; (8) User Content referencing alcohol irresponsibly, such as promoting overconsumption or use by minors; (9) User Content containing viruses, corrupted data or other harmful, disruptive, or destructive files or content; (10) User Content that, in our sole judgement, is objectionable or that restricts or inhibits anyone else’s use or enjoyment of the the Sites or Products, or may expose Golden Shallot and others to any harm or liability. Although we have no obligations to screen, edit, or monitor User Content, we reserve the right to remove, screen, or edit User Content posted or stored on the Site at any time and for any reason. You are solely responsible for creating backup copies of and replacing any User Content you post or store on the Sites at your sole cost and expense. 


21. Indemnification

You agree to defend, indemnify and hold harmless Golden Shallot, our affiliates, service providers, and licensors and their respective directors, officier, agents, contractors, partners, licensors, representatives, suppliers, and employees from any loss, liability, actual or threatened claims, demands, damages, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Site, Products, Offerings, or any information obtained through them, except as expressly authorized in this Agreement. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you under this section, and you agree to cooperate fully as reasonably required by us. You agree to promptly notify Golden Shallot of any third party claims, cooperate with Golden Shallot in defending such claims, and pay all fees, costs, and expenses related  with defending such claims (including, but not limited to, attorney’s fees and expenses, court costs, costs of settlement and costs of pursuing indemnifications and insurance). This indemnity is in addition to, and not in place of, any other indemnities set forth in a written agreement between you and Golden Shallot. You agree that the provisions in this Section will survive any termination of your Agreement and/or access to the Offerings.

 

22. Disclaimers

You are solely responsible for, and assume all risks associated with, the proper and safe preparation (including storage, handling, and cooking), use, and consumption of the contents of the meal kits. Accordingly, all contents of the meal kits are provided “As-Is” and “As Available,” and, to the fullest extent permitted by applicable law, all express and implied warranties are disclaimed. This includes, but not limited to, warranties for fitness for a particular purpose, merchantability, and non-infringement of intellectual property. 

 

23. Limitation of Liability

To the fullest extent permitted by applicable law, Golden Shallot, its affiliates (including, but not limited to, their licensors, service providers, directors, officers, agents, partners, representatives, and employees) shall not be liable to you or any third party for indirect, special, incidental, consequential, or exemplary/punitive damages. This limitation includes, but is not limited to, damage related to personal injury; pain and suffering; emotional distress; business interruption; loss of profit, revenue, business or anticipated savings, use, goodwill, data; and whether cause by TORT (including negligence) breach of contract, or otherwise, even if foreseeable. Additionally, i Golden Shallot shall not be be liable for disputes arising out of or in any way related to the access use, or inability to access or use the Site, its content (including, but not limited to user content, third party content, content of linked third party sites), or the ordering, receipt, or use of any product, This also applies to any issues related to this agreement, including damages resulting from reliance on information obtained from Golden Shallot, or from events beyond it’s reasonable control, such as Site interruptions, deletions of files or emails, errors or omissions, defects, bugs, viruses, trojan horses, delays in operations or transmission or any failure of performance. The limitations shall not affect liability that cannot be excluded or limited under the applicable law/jurisdiction, such as liability for personal injury or property damage directly and proximately caused by our acts or omissions, or for our gross negligence, or willful misconduct. 


24. Modifications To The Site and Products

We reserve the right, at our sole discretion, to modify, suspend, discontinue, temporarily or permanently, the Sites (or any features or part thereof) or the provision of the Products at any time. 

 

25. Dispute Resolutions & Binding Arbitration

Our philosophy is to treat all consumers, including our customers, with honestly and fairness. If a concern, complaint, or claim of any kind arises between you and Golden Shallot, you and Golden Shallot agree to work diligently and in good faith to reach a resolution that is fair and equitable to both sides using the informal settlement process described below.  

 

26. Governing Law and Venue

This agreement and any action related to it will be governed by and constructed with the laws of the state of Georgia, consistent with the Federal Arbitration Act, without regard to any principles that would apply the law of any other jurisdiction. The United Nations Convention on contracts for the International Sales of Goods do not apply to this agreement.  

 

27. Severability and Waiver

If any of this Agreement are found by a competent jurisdiction to be invalid, unlawful, or unenforceable to any extent, that term, condition or provision will be severed from the remaining terms, conditions, and provisions which will continue to be valid to the fullest extent permitted by law. No waiver by Golden Shallot of any provision in this Agreement shall be deemed a further waiver.

 

28. Miscellaneous

These Terms represent the complete agreement between you and Golden Shallot regarding your access to and use of the Sites, as well as your order, receipt and use of Products. You may not transfer or assign these Terms or any rights or  licenses granted hereunder without prior written consent of Golden Shallot. No waiver of any provision of these Terms shall be deemed a waiver of such right or provision. Except as otherwise stated, these Terms are intended solely for the benefit of the parties involved and are not meant to grant third party beneficiary rights upon any other person or entity. 

 

29. Consumer Complaints

In accordance with the Georgia Civil Code [insert Civil Code], you can file complaints with the Georgia Department of Law’s Consumer Protection Division through the following (1) Submitting a form online (2) Submitting a completed form and mailing it in to 40 Capitol Square SW Atlanta, GA 30334 (3) or by telephone at (404)-651-8600 or 1-800-869-1123 (toll-free in Georgia).


30. Electronic Communications

The communication between you and use electronic means, whether you visit Services or send Golden Shallot emails, or whether Golden Shallot posts notices on Services or communicates with you via email. For contractual purposes, you (1) consent to receive communications from Golden Shallot in an electronic form; and (2) agree that all terms and conditions, agreements, notices, disclosures, and other communications related to these Agreements that Golden Shallot provides to you electronically satisfy any legal requirement that such communications would satisfy if they were made in writing in a physical document. The foregoing does not affect your statutory rights. 

 

31. Export Control

You may not export, import, or transfer the Offerings except as authorized by U.S law, the laws of the jurisdiction in which you obtain Services, and any other applicable laws. In particular, but without limitation, the Offerings may not be exported or re-exported (1) into any United State embargoed countries, or (2) to anyone on the U.S. Treasury Department’s list of Specially Designed Nationals or the U.S. Department of Commerce Denied Persons List or Entity List. By using Services, you represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S Government as a “terrorist supporting” country and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. 


32. Notice

If Golden Shallot requires that you provide an email address, you are responsible for providing Golden Shallot with your most current email address. If the email address you provided to Golden Shallot is not valid, or unable to deliver any required/permitted notices under this Agreement, Golden Shallot’s sending of the email containing such notice will still be considered effective. You may give notice to Golden Shallot a t the following address: 5675 Oakbrook Pkwy, Unit C Norcross, GA 30093. Such notice shall be deemed given when receiving by Golden Shallot by letter delivered by nationally recognized overnight delivery service or first-class postage prepaid mail at the address above.
